Due to the scarcity of palm oil and high demanding from its production, the consumption of Nestle has doubled since the last few years. Conflict was arising that Nestle needs a huge number of palm oil to produce its products, however to obtain such a large number of palm oil had endanger the natural environment due to the main supplier (Sinar Mas) led to a vast majority deforestation. In order to fulfil the needs of Nestle, Sinar Mas conducted a huge deforestation event and caused massive pollution. In this case, Greenpeace (a non-government environmental organization) has interfered in this issue and condemned Nestle that encourage the unhealthy trend growth for obtaining the palm oil. Indirectly, Nestle has caused such a huge destructive event that executed by Sinar Mas. This has impacted on the rain forest and nat ural habitat of orang utans and further extinction. Since the unfavourable business practice of Sinar Mas has been disclosed at the early 2010, Nestle has stopped the palm oil purchasing contract with Sinar Mas and decided to co-operate with Cargill, one of the largest palm oil suppliers in the world. In another hand, Nestle has also created: The Nestle Supplier Code (TNSC) and being implemented since August 2010. Under TNSC, Nestle reflects the suppliers need to be full compliance with applicable laws and possess high level senses of responsibility towards the entire stakeholders. In this case there are two serious issues arouse, which are the attitude of Nestle public relationship toward social network and their intention on deforestation decision making. A Kit-Kat sarcastic video clip was released on Youtube which focus on the content of palm oil and deforestation issues that launched by Greenpeace. Nestle social media team was fighting back by chasing the video clip all over the internet and tried to cover all the unfavourable relevant information off from the internet. Nestle also taking action by removed the video clip from Youtube, however the video clip has reposted in another social media platform named, Vimeo. Besides, Greenpeace uses twitter to talk about the censorship attempt by Nestle. The video clip has caused a huge impact towards Nestle, thousands of anti-nestle discussions were removed from the Nestles facebook page. Nestles facebook responds team was responding to those criticism posts and comments by threatening to delete comments. The way of respond by the Nestle social media team has led to further issue. Nestle representative has apologized for the incidents happened in the Nestle facebook wall. But, the image of Nestle has been affected and the stock price was dropped after these incidents happened. In this case, the incompatible goals between Greenpeace and the forest destruction parties had arouse the relationship conflict. Once the conflicts break out, Nestle adopted two different approaches in two different nature issues. Employees attitudes, behaviour, individual biases, ethnics discrimination and improper channel to communication may lead to a huge and unavoidable conflict. One of the Nestle employees reveals that, the selection biases of a manager may lead conflict within the company. For an example, if a human resources manager who possessed selection bias interferes in the process recruiting the new employees, the manager might select his or her preference candidates for the job vacancy.à Based on the questionnaire result that we have been distributed to the Nestle Malaysia, bad attitude of the manager may lead to escalate conflict level into a worse stage. Great majority of the employees preferred to work for a cooperative competent boss and also the colleagues. Employees were in fully support for the dress code in the research but the managers statements were totally contrary to that of employees. The objectives of this training are make the participants can gain a clearer understanding of how to deal with conflict and utilized it for maximum opportunity. Participator may able to recognize the various stages of conflict and avoid it from escalating. After completing the program, they could identify their own preferred conflict resolution style and utilized several of ways for managing conflict successfully. However, participator will learn the techniques in handling emotions issue, it bring more productive relationships with each others. Organization can implement Six Steps of the Collaborative Model to strengthen conflict management training program. For instance: Step 1-à Define the problem in terms of needs not solutions Define a problem in terms of conflicting needs but not conflict the solutions. Step 2à -Brainstorm possible solutions Barnstorming can define as a quick provide and listing of solution without any clarification and without evaluate of the merits. It must be creative while generate a possible solutions. Step 3à -Select the solution (or combination of solutions) that will best meet both parties needs. Both party should be active listening and genuinely consider the other persons preferences. Make sure both of the parties understand the solution. Secondly, company can organize some interaction event to pull close both parties relationship. It could improve the relationships and tend to consensus employees mindset and goal. By having such seminar, it is aim to encourage the experience workers to develop an open-minded to young worker. In addition, senior worker ought to act as a mentor whom always guides the younger worker to make them feel comfortable in workplace. Undisputable, Nestle had committed very serious mistake in handling the issue towards their external stakeholders. The main reason to impute to Nestle had adopted the same tactic, which is drag and try to run away from the responsibility. Despite both incident was happened in different time (1970s and 2010s), the Nestle company still no getting improvement in handling consumer complain instead become worse in the public relation skill. In this part, we suggest Nestle to review the public relation system and operation, in order to eliminate the old way doing it, and develop a better and efficient mechanism. Conclusion After we done all the research and studied the issue of the conflict in Nestle (Malaysia) , we have the conclusions that workplace conflictsà is itself not a problem, but it is a serious symptom of some factors that are usually ignored when designing the organizational structures. From the issues mentioned, structural sources of conflict such as incompatible goal, scarce resources and communicate problems are identified that usually are the root cause of the conflicts, which is ethnicity, personal jealousy, arrogant behaviours and communications problem. We also find out the consequence of unresolved conflict may affect job satisfaction, employee loyalty, and stakeholders interest in any given organization. Superior should mediate a conflict by using the right method. Conflict may affect employees commitment and activist attention through the organization and increase the rate of absenteeism in workplace and reputation destruct. Several ways to deal with conflict, such as avoiding, compromising, collaborating, accommodating and yielding come into picture. Different styles of conflict management have its benefits and weaknesses, users have to identify the most appropriate conflict styles based on the different situation they are in. By following the conflict resolution procedure, conflicts will be solved easily. In conclude, having conflict is not a bad appearance in company, the main reason which is the conflicts serve as a learning curve for all organizations. Another question asked is how young is too young. Children who are too young to see an R rated film unaccompanied are being sent to adult prisons. The only boundaries that seem to matter when it comes to being an adult are laws that restrain kids from things such as alcohol, pornography, and other materials seen as unethical. Children that are sent to adult prison are going to be subjected to even more unprincipled ideas and scenes. When children can be sent to jail for something as minor as a smas h and grab burglary, the judicial system has errors. The laws that send juveniles to adult prisons are inhumane, immoral, and unjust. Kids are often incompetent, which leads to unfair trials. Adult prisons are also very dangerous for minors, and in many cases this leads to more juvenile crimes. People support sending juveniles to adult prisons for many reasons. One reason is that it is the job of the courts to help protect society. Once a troubled juvenile is sent to an adult prison, they are out of the way of society. Hopefully when they re-enter, the punishments they received will be imprinted in their brain and stop them from performing any wrong again. Another reason people think that disturbed youth cannot be saved is that punishment will not save them from themselves and they just need to be locked up forever. The story begins in his hometown, where life is normal and calm before the storm. It quickly transitions into Nazi occupation, persecution, segregation in the form of ghettos, and eventually deportation to camps. As the Jewish people arrive at the camp known as Auschwitz, they are separated and many are immediately executed while the rest are sent off to work. The persecution does not simply end at hard work all day for the Jews, and as time goes on things become progressively worse for Likelier. The Nazis rip and tear at the humanity of Likelier throughout the book in an attempt to euthanize him. For most of the Jews in the camp the end is a physical death; however, what Likelier experiences at the end of the book is an internal death of himself. The AS soldiers achieve his internal death through segregation, mental abuse, and physical abuse that is so ingrained in the mind of the Likelier that it becomes a natural part of his existence, an everyday hell. As Haltering states, Night fines the nature and charts the consequences of a loss of faith in the protagonist, Likelier, as incident by incident, layer by layer, his trust in God and man is peeled away. It is this peeling down process which constitutes the essential structure of Night and enables us to see it as a whole (51). What Haltering means is that The Nazis goal is to euthanize Likelier. The Nazi soldiers successfully peel away at Lispers humanity through various forms and methods until Likelier dies on the inside. The first step towards dehumidifying Likelier is separating him from non-Jews. As he Jews are being placed inside the ghettos, Likelier observes, The barbed wire that encircled us like a wall did not fill us with real fear. In fact, we felt this was not a bad thing; we were entirely among ourselves (11). No fear can be seen in Lispers thoughts, although readers know there should be. Likelier is still unsuspecting of what was to come, and that is what allows him to be taken so easily. Had the Nazis taken the Jews all at once, The Jews would have struggled much more, especially if they knew what was coming. The Nazis took things slow so as to avoid an uprising, to maintain control. Later, to further pronounce the separation between the population into Jews and non-Jews, the Nazis force all of the Jews to wear yellow stars on their clothes. About the same time that the Jews are placed in ghettos, with a more nervous tone in his voice, Likelier ominously notes, Three days later, a new decree: every Jew had to wear the yellow star (11). The Nazis want to make it visibly known that the Jews are different. They force the yellow star on them so that anyone could know who was Jewish and who was not. Not only this, but also many decrees are set out that limit what people with the yellow star can do. By limiting Jews, the Nazis enforce a barrier between them and non-Jewish people. However, after all this segregation, and even someone within their community warning them of what to come, the Jews are still denying the inevitable. No one could really imagine, even in those rare cases where individuals came back and insisted that the deported were centers (Friedman 206). It is important to recognize the denial of what is about to happen, because much has yet to happen to the poor Jews of Sighed. For the coming weeks, the Jews would be abused and tortured not only physically, but mentally. To proceed in the demutualization of Likelier, the Nazis torment his mind with disturbing images, and crush his spirit. Fine notes, Once Likelier enters Auschwitz, he loses his sense of time and reality. Darkness envelops him and penetrates within: his spirit shrouded, his God eclipsed, the blackness eternal (49). A man who has no mind to think for himself, and no spirit to fight back is easier to control and abuse. In order for the Nazis to completely euthanize Likelier, they not only have to destroy his mind, they must also destroy his spirits. Just one of the disturbing images is when Likelier witnesses the burning of babies soon after his arrival in Auschwitz: Not far from us, flames, huge flames, were rising from a ditch. Something was being burned there. A truck drew close and unloaded its hold: small children. Babies! Yes, I did see this, with my own eyes Children thrown into the flames (32). Nothing imaginable could possibly be as horrifying as the immolation of infants. This image is such a blow to Lispers mind because it is not only the killing of the innocent; it is there to show Likelier how little life means in Auschwitz. Likelier is led to believe this so they o not value his own life, and therefore will not fight for it; in this way, the Nazis are crushing his spirit as well. While torturing of people he does not know still disturbs Likelier, the physical beating of his only friend in the camp, his father, does more than words or images ever could. Lispers father is beaten, and the fact that Likelier doesnt move to help his father scares him a little. Likelier eerily considers, l stood petrified. What had happened to me? My father had Just been struck, in front of me, and I had not even blinked. I had watched and kept silent (39). Lispers inability to eve demonstrates that the Nazis plan is working. They are successful so far as to even prevent him from standing up for his own father, the only person he knows in the camp. Had the Nazis beat his dad back in Sighed before they really started the torture, Likelier might have fought back, but now submission is the response he has. It scares him. One of the more indirect ways of crushing his spirit and mind was to take away his identity as a person, and give him a number for a name. Likelier depicts the scene with no emotion, and states it as if he does not care: The three veteran rissoles, needles in hand, tattooed numbers on our left arms. I became A-7713. From then on, I had no other name (42). This is the first time Likelier has been given a different name. To assign a number was more damaging because it represents an ordered system of storing things like apples, boxes, or other insignificant items. It puts Likelier in the mindset of not having anything to make him different from any other Jew. He now finds his identity in only numbers and the Nazis definition of a Jew. The torture of mind and loss of identity contribute greatly to his demutualization. After the Nazis have successfully stripped Likelier of his mind, they can truly now attack the only thing left in the process of demutualization, his body. The Nazis see that in order to destroy a mans humanity, they need to destroy the mind, spirit, and then the body. One of the ways they do this is to constantly malnourished Likelier. Bread and Soup became more important than anything because the Nazis starved Likelier. Of soup, my crust of stale bread. The bread, the soup those were my entire life. I was nothing but a body (52). Likelier confirms in the last sentence that the Nazis had tripped him of his mind and spirit that this body is the only thing he has left. The Nazis do not let him keep his body either, they continue to keep him malnourished the rest of his time, and cause many other physical pains over the course of the coming weeks. Aside from starving Likelier, they beat him senselessly on multiple occasions. Likelier remembers, One day when Ides was venting his fury, I happened to cross his path. He threw himself on me like a wild beast, beating me in the chest, on my head, throwing me to the ground and picking me up again, crushing me with ever more violent blows, until I was covered in blood (53). The Nazis have no regard for the body or the pain of Likelier. The Nazis persecute relentlessly, and are able to do so consistently without revolt or opposition. This is the final step in dehumidifying Likelier; after his mind and spirit were depressed to such a point so he would never question or challenge the Nazis, the physical abuse could begin. The Nazis first weaken Lispers body with malnourishment, and then beat him senselessly. As Wishes notes in his preface, Instead of sacrificing my miserable life and rushing to my fathers] side, showing him that he was not abandoned, I remained flat on my back, asking God to make my father stop calling my name, to make him stop crying. So afraid was I to incur the wrath of the AS (Wishes, Preface x). At first it appears as if Likelier cares about his father and does not want him to feel so defeated; however, the last sentence shows that Likelier does so only to get him to stop yelling, to silence his father a little so that the Nazis would not hurt Likelier. A normal person might not care of his or her own safety when a parent is being ordered, and would be there Just for the sake of pure care for his or her father. Instead, Likelier is a person who has lost that sense of care for another human being, and whose only motivation for helping him is so he himself is not beat. It is the Nazis constant threat of physical torture that suppress Likelier. In this way, the Nazis have now controlled the motivations of Likelier with his body. The Nazis not only starve and beat broken bodies, but they work them to the bone. Likelier remarks both on the beatings and the work, There followed terrible days. We received more blows than food. The work was crushing (77). The work now is Just one more thing that the Nazis have at their dispersal. The Nazis are good at pushing many to the point to death, but they are even better at finding out how much a person can take before they die and going a step back from that point to torture them that much longer. A starving body is weak; a broken body is weaker, so pushing them to this point can only be agonizing. After all Likelier experiences, his mind is under control, his spirit is crushed, and now his body has been broken. This total control over his body is crucial to his demutualization, and destruction of his soul. After the destruction of his soul, he is broken on the inside. He has experienced these atrocities, and the only people that he has left to hold him together inside are God and his father. So as to isolate Likelier, the Nazis succeed in killing God and his father. Likelier remarks his distrust in God after seeing the young boy being hanged, My eyes had opened and I was alone, terribly alone in a world without God, without man. Without love or mercy. I was nothing but ashes now, In the midst of these those in prayer like strangers. He does not see them as equals or as believers. He has owe been isolated from God, and in that way, the Nazis have taken away Lispers God, or at least made him question God. They leave him without a higher power or an all present being to rely on. This is especially important to the Nazis goal of total destruction because God is the one being that Likelier can rely when all human presence is gone. This forces him to put all of his faith in the present, in what is happening. The only person that he has left to cling to is his father. The Nazis know that the only way to finally destroy his soul is to strip him of all he loves and knows. He will be an empty body walking if they succeed. Likelier remembers, No prayers were said over his tomb. No candle lit in his memory. His last word had been my name (112). Now his father has been killed, never to be seen again. Likelier is now truly alone in the world, with only his broken body and a number left to him. The Nazis have succeeded in killing him. There is proof that he has died after he has been liberated from the camp. He looks at himself in the mirror, and all he sees is a dead corpse: One day when I was able to get up, I decided to look at myself in the error on the opposite wall. I had not seen myself since the ghetto. From the depths of the mirror, a corpse was contemplating me. The look in his eyes as he gazed at me has never left me (115). His death cannot be seen, except by him when he looks into the mirror. He still walks and breathes, but the inside is now missing from him. The Nazis succeeded in their ultimate goal of killing his soul while preserving the body that used to hold it. Through segregating him from non-Jews, torturing his mind and spirit, and nearly destroying his body, the Nazis succeed in peeling away his immunity. To be human is to be able to live, laugh, love, think, and be happy. In Auschwitz, the Nazis took away all ability to feel. They desensitizing them to horrific, awful sights that would haunt anyone for years. Likelier experiences the worst of what Auschwitz has to offer the prisoners. Most of the population died a horrible death, and their names were forgotten. However, for Likelier, he experienced an internal death. Night can best be defined as a negative Bloodcurdling [coming of age story], in which the character does not end up, as expected, fit for life in society, but on the monetary, a living dead, unfit for life as defined by his community (Vain 129).

Identity is complicated enough as the narrator, Gene Forrester, enters adulthood in a time of war, but a difficult friendship with a fellow student and rival leads to a further confusion of identity. Early in the book, the boysââ¬â¢ relationship is charged by Geneââ¬â¢s jealousy and hate of Phineasââ¬â¢ leadership. However, after Phineas falls from the tree, Gene ejects his darker feelings from himself and turns their relationship in a new direction where co-dependency, instead of envy, drives it. The central relationship between Gene and Finny, involves a troublesome search to authorize identity outside of co-dependency. Gene Forrester is a boy with many conflicts that he must face throughout his high school year. The most significant of these troubles is, without a doubt, Geneââ¬â¢s struggle with his own identity. At first Gene is displeased with his personality, or lack thereof. He envies his best friend, Phineasââ¬â¢ (Finnyââ¬â¢s), wit, charm, and leadership. Throughout the book, Gene repeatedly finds himself acting like his friend, a transformation occurring that Gene is unaware of. There are a number of significant transformations within this story. Phineas is transformed from an active athlete into a cripple after his accident and then sets out to transform Gene in his place. This change is the beginning process by which Geneââ¬â¢s identity begins to blur into Finnyââ¬â¢s, a transformation symbolized by Geneââ¬â¢s putting on Finnyââ¬â¢s clothes one evening soon after the accident. ââ¬Å"I washed the traces off me and then put on a pair of chocolate brown slacks, a pair in which Phineas had been particularly critical of when he wasnââ¬â¢t wearing them, and a blue flannel shirtâ⬠(78). This is the first time in the book that we notice just how much Gene is codependent on Phineas, even when he is gone. From this point on, Gene and Phineas come to depend on each other for psychological support. Gene playing sports because Phineas cannot, ââ¬Å"Listen, pal, if I canââ¬â¢t play sports, youââ¬â¢re going to play them for meâ⬠¦Ã¢â¬ this allows Finny to train Gene to be the athlete that Finny himself cannot be. This training seems to be a path for Phineas simply to live vicariously through Gene. But Gene actively welcomes his attempt, for just as Finny acquires inner strength through Gene, Gene also finds happiness in losing the person he dislikes, himself, into the person he truly likes, Phineas. â⬠¦and I lost part of myself to him then, and a soaring sense of freedom revealed that this must have been my purpose from the first: to become part of Phineas. â⬠(77) In this way, the boysââ¬â¢ relationship becomes a perfect illustration of co-dependency, with each feeling off of and becoming fulfilled by, the other. This newfound co-dependency begins the evolution of the boysââ¬â¢ individual identities. Finny knows himself throughout the book, and is comfortable in his own skin, at least at first. After his fall, he becomes more withdrawn and tends to hide his true feelings. He seems to lose himself as the book progresses. The innocence and general good nature that defined him early on is lost in later chapters, as he continually deludes himself as to Geneââ¬â¢s true intentions. Gene, on the other hand, hides his true identity from Phineas and the others through most of the novel. Yet Gene truly reveals himself at several key points such as pushing Finny from the tree. The boys are living in their own secret illusions that World War Two is a mere conspiracy created by old men and continuing to believe that Gene, Finny through him, will go to the Olympics and that the world canââ¬â¢t change their dreams. The boys are refusing to develop their own goals and responsibilities without each other. Not even Finnyââ¬â¢s death, though it separates them physically, can truly disentangle Geneââ¬â¢s identity from Phineasââ¬â¢. Gene feels as though Finnyââ¬â¢s funeral is his own. In a way, the funeral is indeed Geneââ¬â¢s own. So much of Gene is intermixed with Phineas that it is difficult to imagine one boy existing without the other. The entire novel becomes Geneââ¬â¢s recollection of building his own identity, culminating in his return to Devon years later, where he is finally able to come to terms with what heââ¬â¢s done. During the time I was with him, Phineas created an atmosphere in which I continued now to live, a way of sizing up the world with erratic and entirely personal reservations, letting itââ¬â¢s rocklike facts sift through and be accepted only a little at a time, only as much as he could assimilate without a sense of chaos and lossâ⬠(194). Overview of Insider Trading Insider trading is the trading of a corporationââ¬â¢s stock or other securities (e.g. stock options or bonds) by individuals related to the company with potential access to non-public information about the company which is not disclosed to general public generally. In most countries trading by corporate insiders such as directors officers key employees and large shareholders may be legal, if this trading is done in a way that does not take advantage of non-public information which ultimately harm the investors confidence. However insider trading to refer to a practice in which an insider or a related party generally member of the company trades based on material non-public information obtained during the performance of the insiderââ¬â¢s duties at the corporation, or otherwise in breach of a fiduciary or other relationship of trust and confidence or where the non-public information was misappropriated from the company. The illegal kind of Insider Trading is the trading in a secu rity (selling or buying a stock) based on material information that is not available to the general public. It is prohibited by the US Securities and Exchange Commission (SEC) because it is unfair and would destroy securities markets by destroying investor confidence. DEFINITION OF ââ¬Å"INSIDERâ⬠Insider means any person who is or was connected with the company or is deemed to have been connected with the company and is reasonably expected to have access, by virtue of such connection, to unpublished price sensitive information in respect of securities of the company , or who has received or has had access to such unpublished price sensitive information. Unpublished price sensitive information means any information which relates to the following matter or is of concern , directly or indirectly , to a company, and is not generally known or published by such company for general information , but which is published or known , is likely to materially affect the price of securities of that company in the market. The following unpublished information can be considered as price sensitive: 1) Financial results of the company 2) Intended declaration of dividend 3) Issue of hares by way of public rights, bonus, etc 4) Any major expansion plans or execution of new projects 5) Amalgamation , mergers and takeovers 6) Disposal of the whole or substantially the whole of the undertaking 7) Such other information as may affect the earning of the company 8) Any changes in policies , plans or operations of the company Connected persons include the following 1) Director of the company 2) Person deemed to be director of the company 3) Person occupying the position as an officer or an employees of the company 4) Person holding a position involving a professional or business relationship between himself and the company and who may reasonably be expected to have an access to unpublished price sensitive information relating to that company Therefore a company insider is someone who has access to the important information about a company that affects its stock price or might influence investors decisions. This is called material information. A public company, if it is smart, limits the number of people who have access to material information and, therefore, are considered insiders. This is done for a couple of reasons. First, they want to limit the likelihood that anyone will ââ¬Å"leakâ⬠the information. Second, being an insider means being subject to severe limits on when you can trade in the company stock, usually only the middle month of each quarter. The companyââ¬â¢s senior management are insiders. So are some of the financial analysts. The top sales people usually also are insiders, although a regional sales manager who only sees his or her own regionââ¬â¢s results may not be one. The individuals in Investor Relations and/or Public Relations who prepare the public announcements also are insiders. If t he company is developing a new product that could be a big seller, the key people in the Research Development team would also be considered insiders, provided the information they have is material. Other individuals who are not employees, but with whom the company needs to share material information, are also insiders. This list could include brokers, bankers, lawyers, etc. WHY INSIDER TRADING Insider trading may be attempted to 1) Benefit the company through unethical purchase and sale of the companys shares by withholding price sensitive information , and 2) Benefit the individuals indulging in this unethical practice CATEGORIES OF INSIDERS These are persons connected with the company having access to price sensitive information. Broadly then can be a) Primary insider e.g. directors, stock exchange, merchant bankers, registrars, brokers of the company, top executives, auditors, bank etc b) Secondary insider i.e dealer, agents and other employes etc c) Others having acess to price sensitive information due to their proximity with the company WHY CONTROL INSIDER TRADING Basic objective of controlling insider trading is to protect investors . other related objective are protecting the interest and reputation of the company, maintaining confidence in stock exchange operations, maintaining public confidence in the financial system as a whole. SIGNIFICANT PENALITIES Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 give the SEC the authority to seek a court order requiring violators to give back their trading profits. The SEC can also ask the court to impose a penalty of up to three times the profit the violators realized from their insider trading. In addition to the financial penalties, there are criminal penalties. Many now feel those penalties are not strong enough and are working to increase them substantially. A bill in the US Senate, for instance, seeks to make defrauding shareholders a felony punishable by up to 10 years in prison.A penalty up to Rs 5 lakh can be imposed on an insider who indulge in dealing, communicating or counseling on matters relating to insider trading. PROHIBITION ON DEALING, COMMUNICATING OR COUNSELLING ON MATTERS RELATING TO INSIDER TRADING It has been laid down that no insider shall 1) Either on his own behalf or on behalf of nay other person, deal in securities of a company listed on any stock exchange on the basis of any unpublished price sensitive information; or 2) Communicate any unpublished price sensitive information to any person, with or without his request for such information, expect as required in the ordinary course of business or under any law; or 3) Counsel or procure any other person to deal in securities of any company on the basis of unpublished price sensitive information. INVESTIGATION INTO THE AFFAIR OF INSIDERS In case SEBI, on the basis of written information in its possession, is of the opinion that it is necessary to investigate and inspect the books of accounts, other records and documents of an insider, it may appoint an investigating authority a) To investigate into the complaints received from investors, intermediaries or any other person on any matter having a bearing on the allegations of insider trading; and b) To investigate knowledge or information in its possession to protect the interest of investors in securities against breach of these regulations SECURITY ANALYSIS AND INSIDER TRADING The analysts of security gather and compile information and they talk to corporate officers and other insiders and issue recommendations to traders. Thus their activities might easily cross legal lines if they are not careful about it . The CFA Institute has quoted in its code of ethics that analysts should make every effort to make all reports available to all the brokerââ¬â¢s clients on a timely basis. As Insiders are legally allowed to buy and sell stocks. The Securities and Exchange Commission (SEC) requires insiders to disclose their trades, and the financial newspapers report such trading. Investors find this information a source of valuable clues about companies. Insider trading puts a bad effect on stock market as people who earlier are willing to invest will now hesitate to invest as they will fear about the market fluctuation as market becomes more risky so as a result they would prefer not to invest. MARKET AND PRICES Stock prices too are generated by supply and demand. But supply and demand for stocks are not disembodied concepts. They are generated, obviously enough, by suppliers and demanders people with preferences, objectives, expectations, knowledge, and, therefore, plans. Part of what goes into an intention to buy or sell shares in a company is expectations about its future based on knowledge about its management, organization, and so on. These expectations are incorporated into the share price, and changes in expectations bring about changes in price. The more knowledgeable the participants, the more fully do prices perform their communications work. Nothing would undermine confidence in markets more than the belief that prices are out of date. CIVIL PENALITIES FOR INSIDER TRADING A. AUTHORITY TON IMPOSE CIVIL PENALITIES 1. B. AMOUNT OF PENALTY FOR CONTROLLING PERSON The amount of penalty which might be imposed on the person who directly or indirectly control the person who commits such violation will be evaluated by the court in accordance of the facts and circumstances and will not exceed three times the amount of the profit gained or loss incurred as a result of such controlled personââ¬â¢s violation. C. LIMITATION ON LIABILITY 1. LIABILITY OF CONTROLLING PERSONS No controlling person shall be subject to a penalty under section (a)(1)(B) unless the Commission finds that. A. the controlling person knew the fact that such controlled person was likely to engage in the act constituting the violation and failed to take required steps to prevent such act before they occurred. B. such controlling person knowingly or unknowingly failed to establish or maintain any procedure required under the act of the Investment Advisers Act of 1940 and such failure substantially lead to the occurrence of the act constituting the violation. 2. ADDITIONAL RESTRICTIONS ON LIABILITY No person shall be subject to penalty under subsection (a) of section solely by reason of employing another person who is subject to penalty under subsection unless such employing person is liable as controlling person (1) of this subsection. shall not apply to actions subsection (a) of this section. D. AUTHORITY OF COMMISSION The Commission by such rules regulations as it considers necessary in the public interest and primarily for the protection of investors may exempt in whole or some part unconditionally or for specific terms and conditions, any person from this section. E. PROCEDURE FOR COLLECTION 1. PAYMENT OF PENALTY TO TREASURY A penalty imposed under this section shall be payable into the Treasury of the United States except as otherwise provided in section 308 2. Collection of penalties A person on whom such penalty is imposed shall fail to pay such penalty within the time prescribed in the courtââ¬â¢s order then the Commission may refer the matter to the major Attorney General who will recover such penalty by action in the appropriate court. 3. Raj Rajaratnam, a portfolio manager for Galleon Group, a hedge fund with up to $7 billion in assets under management, was accused of conspiring with others to use insider information to trade securities in several publicly traded companies, including Google Inc. U.S. Attorney Preet Bharara told a news conference it was the largest hedge fund case ever prosecuted and marked the first use of court-authorized wiretaps to capture conversations by suspects in an insider trading case. He said the case should cause financial professionals considering insider trades in the future to wonder whether law enforcement is listening. Joseph Demarest Jr the head of the New York FBI office, said it was clear that ââ¬Å"the 20 million dollars in illicit profits come at the expense of the average public investor. The Securities and Exchange Commission, which brought separate civil charges, said the scheme generated more than $25 million in illegal profits. Robert Khuzami, director of enforcement at the SEC said the charges show Rajaratnamââ¬â¢s secret of success was not genius trading strategies. Galleon Group LLP said in a statement it was shocked to learn of Rajaratnamââ¬â¢s arrest at his apartment. We had no knowledge of the investigation before it was made public and we intend to cooperate fully with the relevant authorities. Rajaratnam, 52, was ranked No. 559 by Forbes magazine this year among the worldââ¬â¢s wealthiest billionaires, with a $1.3 billion net worth. According to the Federal Election Commission. he is a generous contributor to Democratic candidates and causes. The FEC said he made over $87,000 in contributions to President Barack Obamaââ¬â¢s campaign, the Democratic National Committee and various campaigns on behalf of Hillary Rodham Clinton, U.S. Sen. Charles Schumer and New Jersey U.S. Sen. Robert Menendez in the past five years. The Center for Responsive Politics, a watchdog group, said he has given a total of $118,000 since 2004 all but one contribution, for $5,000, to Democrats. The Associated Press has learned that even before his arrest, Rajaratnam was under scrutiny for helping bankroll Sri Lankan militants notorious for suicide bombings. Papers filed in U.S.District Court in Brooklyn allege that Rajaratnam worked closely with a phony charity that channeled funds to the Tamil Tiger terrorist organization. Those papers refer to him only as Individual B. But U.S. law enforcement and government officials familiar with the case have confirmed that the individual is Rajaratnam. At an initial court appearance in U.S. District Court in Manhattan, Assistant U.S. Attorney Josh Klein sought detention for Rajaratnam, saying there was ââ¬Å"a grave concern about flight riskâ⬠given Rajaratnamââ¬â¢s wealth and his frequent travels around the world. His lawyer, Jim Walden, called his client a ââ¬Å"citizen of the world,â⬠who has made more than $20 million in charitable donations in the last five years and had risen from humble beginnings in the finance profession to oversee hedge funds responsible for nearly $8 billion. Walden promised ââ¬Å"thereââ¬â¢s a lot more to this caseâ⬠and his client was ready to prepare for it from home. NOMURA CAUGHT IN INSIDER TRADING SCANDAL By Emi Emoto and Aiko Hayashi TOKYO Nomura Holdings, Japanââ¬â¢s largest brokerage house, said on Tuesday that it had fired an employee at the centre of an insider trading ring and warned the fallout could harm its business. The insider trading scandal, the brokerââ¬â¢s second in five years, comes on top of falling profits and $1.4 billion in subprime losses, after which the firm replaced its CEO. Recently appointed CEO Kenichi Watanabe bowed in apology for the scandal, which drew harsh comments from government officials and sent the firmââ¬â¢s share price down 3.9 percent. It also led to a drop-off in business at the firm on Tuesday as some institutional investors stopped placing orders due to compliance concerns, a source on the Nomura trading floor said. Watanabe said the employee at the centre of the probe had been dismissed for violating company rules and warned the case would have an unspecified impact on earnings. It was significant that we were involved in something that hurt the brokerage industry he said, adding he saw the case as an individual matter, rather than a sign of wider problems at his firm. The employee at the centre of the scandal worked in the MA advisory department where he repeatedly used insider information about merger and acquisition deals, a source with direct knowledge of the matter said. The 30-year old, from Nomuraââ¬â¢s Hong Kong unit, was suspected of giving information on merger deals to two acquaintances who then profited on stock trades, Kyodo News agency said. N.J MAN ADMITS INSIDER TRADING By Carrie Johnson Washington Post Staff Writer Thursday, June 17, 2004; Page E03 In this case a new jersey insurance broker committed that he is guilty to insider trading using that information that he had received from the husband of a secretary who took care of mergers and acquisition at a new York law firm. Ronald A. Manzo, 60, also lied to regulators at the Securities and Exchange Commission who were investigating purchases of seven stocks in 1998 and 1999, federal prosecutors in New York said.He earned more than $980,000 through the scheme, they said. Manzo could be sentenced to 40 years in prison and be fined millions of dollars. Prosecutors unsealed a related guilty plea by Fiore J. Gallucci, who allegedly passed information about pending deals from his wife, an assistant at Skadden, Arps, Slate, Meagher Flom LLP, to Manzo to curry favor with him. Gallucci, 62, received some money from Manzo but did not trade in the stocks himself. His wife, who no longer works at Skadden. did not know he was improperly sharing the information and was not charged with breaking the law. Separately, the SEC sued Gallucci, Manzo and Gary B. Taffet, a former chief of staff to New Jersey Gov. James E. McGreevey (D), for insider trades that resulted in $3 million in profit. The SEC said that Manzo tipped off Taffet using the information he had acquired from Gallucci. Gallucci and Manzo are in negotiations to settle the civil charges but Taffet, who was not charged with a crime, is fighting the allegations. ââ¬Å"We are disturbed at the SECââ¬â¢s decision to bring charges against Mr. Taffet, whose stock trading was not based on illegally obtained information.The reality is that Mr. Taffet did not know or deal with any insider at the companies he traded, nor did he knowingly disclose nonpublic information to any third party. Managers at Skadden, one of the most prominent dealmaking law firms in the world, said they cooperated with the investigation. Regulators said the practice of insider traders using information gathered from law firm employees is not uncommon. The crux of this case is that people who are in possession of material nonpublic information for legitimate reasons need to carefully consider to whom they can entrust this information.
